These Terms of Service (“Terms”) govern your access to and use of dental.inkyy.com and the services provided by Inkyy Dental (“Inkyy Dental,” “Inkyy,” “we,” “us,” or “our”).

By accessing our website, submitting an inquiry, booking a consultation, purchasing a service, or entering into an agreement with us, you agree to these Terms.

1. Our Services

Inkyy Dental provides digital services primarily for dental practices and related businesses.

Depending on the package or agreement selected, our services may include:

  • Website strategy
  • Market and competitor research
  • Search engine optimization
  • Website design
  • Website development
  • Website hosting or maintenance
  • Online booking functionality
  • AI chat tools
  • Voice AI receptionist tools
  • Review collection automation
  • Appointment reminders
  • Payment and deposit integrations
  • CRM and dashboard integrations
  • Marketing automation
  • Technical support
  • Other related digital services

The exact scope of services will be described on our website, proposal, order form, invoice, statement of work, or other written agreement.

2. Proposals and Separate Agreements

Certain services may be governed by a separate proposal, service agreement, statement of work, order form, or other written agreement.

If there is a conflict between these Terms and a separately executed written agreement, the separately executed agreement will control with respect to that specific service.

3. Pricing and Payment

Pricing may be displayed on our website or provided separately through a proposal or agreement.

Depending on the service, fees may include:

  • One-time setup or development fees
  • Monthly subscription fees
  • Recurring software fees
  • Additional development fees
  • Third-party service fees

You agree to pay all fees associated with the services you purchase according to the payment schedule provided to you.

Unless otherwise agreed in writing, payments are due in accordance with the invoice, subscription, or proposal terms.

We reserve the right to change publicly advertised pricing for future customers or future purchases.

Changes to publicly advertised pricing will not retroactively change fees already agreed to under an active written agreement unless that agreement permits such changes.

4. Subscription and Minimum Term

Certain Inkyy Dental packages may require a minimum subscription period.

The applicable minimum term will be displayed on the website or specified in your proposal, order form, or service agreement before purchase.

Where a six-month minimum or another minimum commitment applies, the client remains responsible for fees during that minimum term unless otherwise agreed in writing.

After the minimum commitment, services may continue on a recurring basis according to the terms provided at the time of purchase.

5. Cancellation

Cancellation terms may vary depending on the package or service selected.

If your service includes a minimum contractual period, cancellation does not remove payment obligations associated with the agreed minimum term unless otherwise stated in writing.

Requests to cancel recurring services should be sent to hello@inkyy.com.

Services may remain active until the end of the applicable billing period unless otherwise agreed.

Third-party services purchased on behalf of a client may be subject to separate cancellation policies.

6. Refunds

Unless otherwise stated in a written agreement, payments for work already performed, third-party costs already incurred, subscription periods already started, and custom digital services are generally non-refundable.

Any refund request will be evaluated according to the applicable agreement, work completed, costs incurred, and circumstances of the request.

Any guarantee specifically offered in a proposal or marketing offer will be governed by the terms stated with that guarantee.

7. Client Responsibilities

Clients are responsible for:

  • Providing accurate business information
  • Providing requested content and assets
  • Providing feedback and approvals within a reasonable timeframe
  • Providing access to necessary accounts and systems
  • Ensuring they have permission to use all content, trademarks, photographs, logos, and other materials provided to us
  • Reviewing the website and services before launch
  • Ensuring their business complies with applicable laws and industry regulations

Project delays caused by missing content, credentials, approvals, or feedback may result in changes to the delivery schedule.

8. Dental and Healthcare Compliance

Our services are technology, design, marketing, and automation services. We do not provide medical, dental, legal, or regulatory advice.

Dental practices are responsible for determining the laws, professional rules, privacy requirements, advertising standards, and healthcare regulations applicable to their practice.

Clients are responsible for determining whether their use of any website feature, CRM, AI tool, booking tool, payment system, communication system, analytics service, or other technology complies with applicable healthcare and privacy laws.

Where additional agreements such as data processing agreements or business associate agreements are legally required, they must be separately agreed upon where applicable.

Clients should not provide protected health information or sensitive patient information to us unless an appropriate process and agreement have been established.

9. Third-Party Services

Our services may integrate with or rely on third-party platforms.

These may include services related to:

  • Hosting
  • Domains
  • Scheduling
  • Artificial intelligence
  • CRM systems
  • Email
  • SMS
  • Voice communications
  • Payments
  • Analytics
  • Advertising
  • Review management
  • Search engines
  • Automation

Third-party services are governed by their own terms, policies, pricing, availability, and technical limitations.

We are not responsible for outages, policy changes, pricing changes, account restrictions, API changes, service interruptions, or other actions taken by third-party providers.

We cannot guarantee that any third-party platform will remain available indefinitely or continue operating in exactly the same manner.

10. Website Ownership and Intellectual Property

Unless otherwise specified in a separate agreement, ownership of the final custom website deliverables created specifically for the client will transfer to the client after all required payments have been made.

Inkyy retains ownership of:

  • Pre-existing tools
  • Internal systems
  • Development frameworks
  • General-purpose code
  • Reusable components
  • Processes
  • Methods
  • Know-how
  • Licensed third-party technology

Third-party software, plugins, fonts, stock media, APIs, SaaS platforms, and other licensed materials remain subject to their respective licenses.

11. Portfolio Rights

Unless otherwise agreed in writing, we may display completed work, screenshots, project descriptions, and publicly available elements of a project in our portfolio, case studies, social media, advertising, award submissions, and other promotional materials.

We will not intentionally publish confidential information provided by a client.

12. Client Content

You retain ownership of content and materials you provide to us.

By providing content to us, you grant us permission to use, reproduce, modify, and process that content as reasonably necessary to provide the requested services.

You represent that you have the necessary rights and permissions to provide and use such materials.

13. Results and Performance

We build websites and marketing systems designed to improve performance and business outcomes, but individual results vary.

Unless specifically guaranteed in a written agreement, we do not guarantee:

  • A specific number of leads
  • A specific number of patients
  • Specific revenue
  • Specific conversion rates
  • Specific search engine rankings
  • Specific advertising performance
  • Specific review growth
  • Specific appointment volume

Marketing, SEO, conversion rates, advertising performance, and business results depend on many factors outside our control.

14. Search Engine Optimization

SEO services are intended to improve website structure, visibility, content relevance, and search performance.

Search engines control their own algorithms and rankings. We cannot guarantee a particular ranking position or guarantee that rankings will remain unchanged.

Algorithm updates, competitor activity, website changes, and other external factors may affect search performance.

15. AI and Automated Services

Certain packages may include AI-powered chat, voice, messaging, or automation services.

AI-generated responses and automated systems may occasionally produce inaccurate, incomplete, or unexpected results.

Clients are responsible for reviewing how these tools are configured and ensuring that they are appropriate for their practice.

AI tools provided through our services must not be relied upon to diagnose medical conditions, provide emergency medical instructions, or replace professional clinical judgment.

16. Service Availability

We aim to provide reliable services but cannot guarantee uninterrupted or error-free operation.

Services may occasionally be unavailable because of:

  • Maintenance
  • Software updates
  • Hosting issues
  • Third-party outages
  • Internet failures
  • Security incidents
  • API changes
  • Events outside our reasonable control

We may modify, replace, or discontinue specific technical components when reasonably necessary to maintain or improve the service.

17. Acceptable Use

You may not use our website or services to:

  • Violate applicable law
  • Commit fraud
  • Send unlawful spam
  • Distribute malware
  • Infringe intellectual property rights
  • Misrepresent your identity or business
  • Attempt unauthorized access to systems
  • Interfere with website or service security
  • Use services for unlawful, abusive, or deceptive purposes

We may suspend or terminate access where we reasonably believe the services are being misused.

18. Confidentiality

Both parties may receive confidential information during the course of a project.

Each party agrees to use reasonable care to protect confidential information and not disclose it to third parties except where necessary to perform the services or where disclosure is required by law.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Inkyy Dental and its team members, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the website or services.

This includes, where permitted by law, loss of profits, revenue, data, business opportunities, goodwill, patients, leads, or anticipated savings.

To the maximum extent permitted by law, our total liability relating to a particular service will not exceed the amount paid by the client to us for that service during the period giving rise to the claim, unless otherwise required by applicable law or agreed in writing.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Inkyy Dental harmless from claims, losses, liabilities, or expenses arising from:

  • Content or materials you provide
  • Your misuse of the services
  • Your violation of applicable law
  • Your violation of third-party rights
  • Your failure to obtain necessary permissions
  • Your use of the website or services in violation of these Terms

21. Privacy

Your use of our website is also subject to our Privacy Policy.

Our Privacy Policy explains how we collect, use, and process information, including information collected through cookies, Google Analytics, Meta Pixel, and other technologies.

22. Termination or Suspension

We may suspend or terminate services if:

  • Required payments are materially overdue
  • The services are being used unlawfully
  • The client materially breaches an agreement
  • Continuing the service creates a security or legal risk
  • A required third-party service becomes unavailable

Termination does not eliminate payment obligations already incurred.

23. Changes to These Terms

We may update these Terms from time to time.

The updated Terms will be published on this page with a revised “Last Updated” date.

Changes will apply prospectively unless applicable law or a separate agreement provides otherwise.

24. Governing Law

Unless otherwise specified in a separate written agreement, these Terms will be governed by the laws applicable to Inkyy's principal place of business in Bosnia and Herzegovina, without regard to conflict-of-law principles.

Any mandatory rights available to consumers or users under applicable law remain unaffected.
